These Terms & Conditions (“Terms”) govern all purchases, memberships, itineraries, services, and experiences provided by Hinsley Consulting LLC (“we,” “us,” or “our”). By purchasing a membership, booking an itinerary, or engaging with our services, you agree to these Terms.

SECTION 1 — GENERAL TERMS (APPLIES TO ALL CUSTOMERS)

  • Hinsley Circle services provided by Hinsley Consulting LLC provide curated recommendations, planning support, introductions, and access to experiences in Napa Valley and beyond. We do not own, operate, or control wineries, hotels, restaurants, transportation providers, or any third‑party venues.

  • All bookings, reservations, and experiences are subject to the policies, availability, and discretion of the third‑party provider.

2. No Guarantee of Availability

  • While we strive to facilitate meaningful and memorable experiences, we do not guarantee:

  • Availability of specific wineries, venues, or experiences

  • Preferred reservation times or dates

  • Special accommodations, upgrades, or exclusive access

  • All experiences are subject to availability and third‑party approval.

3. Payments

  • All services—memberships, itineraries, and add‑ons—must be paid in full at the time of purchase unless otherwise stated.

  • We reserve the right to suspend or cancel services if payment cannot be processed.

4. Conduct & Community Standards

  • Customers and members are expected to engage respectfully with winery partners, venues, staff, and fellow participants.

  • We may suspend or terminate access to services—without refund—if behavior is deemed inappropriate, disruptive, or damaging to relationships with partners or the community.

5. Intellectual Property

  • All Hinsley Circle content, materials, itineraries, photography, branding, and written communications created by Hinsley Consulting LLC remain the exclusive property of Hinsley Consulting LLC.

  • You may not reproduce, distribute, or use this content for commercial purposes without written consent.

6. Limitation of Liability

  • To the fullest extent permitted by law, Hinsley Consulting LLC are not liable for:

  • Indirect, incidental, or consequential damages

  • Losses arising from third‑party services or experiences

  • Changes in availability, pricing, or policies of recommended providers

  • Travel delays, disruptions, or cancellations

  • Personal injury, loss, theft, or damages during any experience

  • Participation in any experience is voluntary and at your own risk.

7. Modifications to Services

  • We may update service offerings, pricing, or program structure at any time. Material changes will be communicated in advance when applicable.

  • Continued use of services constitutes acceptance of updated Terms.

8. Privacy

  • Customer information is handled in accordance with our Privacy Policy.

  • We do not sell personal data. Information may be shared with trusted partners only as necessary to facilitate reservations, purchases or experiences.

9. Governing Law

  • These Terms are governed by the laws of the State of California.

SECTION 2 — MEMBERSHIP TERMS (HINSLEY CIRCLE)

  • These terms apply specifically to Hinsley Circle membership purchases.

11. Membership Overview

  • Hinsley Circle is a commercial membership program offering curated access, planning support, introductions, and experiences. Membership benefits vary by tier and are designed to enhance—not guarantee—access to wineries, venues, or travel opportunities.

  • Membership does not constitute ownership, partnership, or guaranteed access to any specific venue or service.

12. Eligibility & Acceptance

  • Membership may be offered through an application process.

  • We reserve the right to accept, decline, or revoke membership at our discretion to maintain the quality of our service and the standards of the membership community.

13. Membership Term, Billing & Renewal

  • Memberships are billed on a recurring basis (monthly).

  • Unless otherwise stated, memberships automatically renew at the end of each billing cycle.

  • Members may cancel at any time; cancellation becomes effective at the end of the current billing period.

  • No partial or prorated refunds are issued for unused time or mid‑cycle cancellations.

14. Membership Benefits

  • Benefits vary by tier and may include:

  • Curated recommendations

  • Planning support

  • Introductions to wineries and partners

  • Access to select events or experiences

  • Benefits may change over time. We will notify members of material updates.

15. Events & Hosted Experiences

  • Some events or experiences may require additional fees unless explicitly included in your membership tier.

  • Event details, pricing, and cancellation policies will be provided at the time of booking.

  • Participation is voluntary and at your own risk.

16. Termination of Membership

  • We may suspend or terminate membership—without refund—if:

  • Payment cannot be processed

  • A member violates these Terms

  • Conduct is deemed inappropriate or damaging to relationships with partners or the community

SECTION 3 — ONE‑OFF ITINERARY TERMS

  • These terms apply to single‑purchase itineraries or planning services.

17. Scope of Itinerary Services

  • One‑off itineraries may include:

  • Personalized winery recommendations

  • Reservation assistance

  • Travel planning guidance

  • Curated lists of experiences

  • The itinerary fee covers planning services only. It does not include the cost of tastings, meals, transportation, lodging, or third‑party services.

18. Delivery Timeline

  • Itineraries are typically delivered within the timeframe stated at purchase. Delays may occur based on complexity or availability of partners.

19. Refund Policy for Itineraries

  • Because itineraries involve personalized planning, all one‑off itinerary purchases are non‑refundable once work has begun.

  • If you cancel before planning begins, we may offer a partial refund at our discretion.

20. No Guarantee of Reservations

  • We will make every effort to secure reservations on your behalf, but we cannot guarantee:

  • Availability

  • Specific times

  • Special accommodations

  • Access to private or limited‑capacity venues

  • All reservations are subject to third‑party approval.

SECTION 4 — TRAVEL & THIRD‑PARTY EXPERIENCE TERMS

21. Third‑Party Providers

  • Experiences may involve third‑party partners. We are not responsible for:

  • Travel delays or disruptions

  • Changes made by third‑party providers

  • Personal injury, loss, or damages during travel

  • Members and customers are encouraged to carry appropriate travel insurance.

SECTION 5 — FINAL PROVISIONS

22. Updates to Terms

  • We may update these Terms at any time. The most current version will always be available on our website.
